Pursuant to a legal mortgage dated 30 august 2017 made between (1) kirklees stadium development limited ("the borrower) and (2) the council of the borough of kirklees ("the lender") the borrower charges to the lender with full title guarantee:. 1. by way of first legal mortgage, the property (as defined below);. 2. by way of first fixed charge:. A. all its rights in each insurance policy (as defined in the legal mortgage), including all claims, the proceeds of all claims and all returns of premiums in connection with each insurance policy, the rental income (as defined in the legal mortgage) and the benefit of any guarantee or security in respect of the rental income to the extent not effectively assigned under clause 3.2 (of the legal mortgage);. B. the benefit of all other contracts, guarantees, appointments, and warranties relating to the charged property and other documents to which the borrower is a party or which are in its favour or of which it has the benefit relating to any letting, development, sale purchase, use or the operation of the charged property or otherwise relating to the charged property (including, in each case, but without limitation, the right to demand and receive all monies whatever payable to or for its benefit under or arising from any of them, all remedies provided for in any of them or available at law or in equity in relation to any of them, the right to compel performance of any of them and all other rights, interests and benefits whatever accruing to or for its benefit arising from any of them);. C. all authorisations (statutory or otherwise) held or required in connection with the borrower's business carried on at the property or the use of any charged property, and all rights in connection with them; and. D. all monies from time to time standing to the credit of the rent accounts (as defined in the legal mortgage). Property: all that freehold and leasehold property situated at stadium way, huddersfield known as the john smiths stadium, consisting of:. (I) the land registered at the land registry under title numbers WYK634427 and WYK601318;. (Ii) those parts of the land registered at the land registry under title numbers WYK536934 and WYK574185 to the extent that such titles fall within the land shown shaded green on the plan numbered 17-0306 bound up within this agreement.
