The secured sums due from the company to the chargee in accordance with clause 51 of the agreement (as defined herein) which states that (a) on a sale resulting in the aggregate sale proceeds equalling or exceeding £3,636,363 (exculding vat), plus a sum equal to half of sdg contributory costs, then st george developments limited ("st george") will pay the chargee a sum (exclusive of vat) of 27.5% of the excess (if any). In addition to this, st george will be entitled to retain a sum equivalent to one half of the sdg contributory costs at that time and (b) on completion of each subsequent sale, st george will pay the chargee the amount of the top-up payment less a sum equal to half of sdg contributory costs at that time (insofar as they have not previously been retained by st george pursuant to clause 51)
