All of the shares in blackshaw healthcare services limited and all dividends paid or payable after the date hereof on all or any shares and all stocks shares securities and the dividends or interest thereon rights moneys or property. By way of first fixed charge all sums standing to the credit of any bank account held by or for the benefit of the chargor. All present and future obligations and liabilities of (a) the company to the chargee (the security trustee) (for itself and as agent and security trustee for the creditors) (as defined) and the senior creditors (as defined) (or any of them) under the charge and under the facility agreement (as defined) and each other finance document to which it is a party and (b) blackshaw healthcare services limited (the borrower) under the facility agreement and each other finance document to which it is a party and (c) and/or in any case any deed or document supplemental thereto
