The freehold land known as westgate house, westgate road, ealing, london W5 1YY with registered title number AGL84090, together with all buildings, trade and other fixtures, fixed plant and machinery of the chargor from time to time thereon and the proceeds of sale thereof.

(1) the freehold land known as westgate house, westgate road, ealing, london W5 1YY with registered title number AGL84090, together with all buildings, trade and other fixtures, fixed plant and machinery of the chargor from time to time thereon and the proceeds of sale thereof;. (2) the patents, trade marks, service marks and registered designs (if any) and application for any of the foregoing in each case as specified in schedule 3;. (3) all present and future patents, trade marks, service marks and registered designs including applications therefore (other than those specified in schedule 3) now or from time to time hereafter owned by the chargor or in which the chargor may have an interest;. (4) all patents (including applications for and rights to apply for patents), trade marks and service marks (whether registered or not) and applications for the same, trade names, registered designs, design rights, semi-conductor topography rights, database rights, copyrights, computer programmes, know-how and trade secrets and all other intellectual or intangible property or rights and all licences, agreements and ancillary and connected rights relating to, intellectual and intangible property, in each case now or from time to time hereafter owned by the chargor including any renewals, revivals or extensions thereof and wherever in the world subsisting, excluding the property specified in paragraphs (2) and (3) above.

Unless defined in this form, all capitalised terms used below have the same meaning given to them in the debenture dated 25 april 2018 enclosed with this form (the debenture).. The charges include:. 1. a first legal mortgage over:. (I) the property known as westgate house, west gate london W5 1YY registered at the land registry with title number AGL84090 (excluding, for the avoidance of doubt, the ancillary carpark); and. (I) all other land now owned by the company.. And in any rights accruing to, derived from or otherwise connected with it with the exception of the ancillary carpark and any such rights relating thereto;. 2. first fixed charge and all of the company’s rights it now has and rights it obtains at any time in the future in land (excluding, for the avoidance of doubt, the ancillary carpark), other than that charged by way of first legal mortgage; and. 3. first fixed charge and all of the company’s rights it now has and rights it obtains at any time in the future in intellectual property,. As more particularly described in clause 3 of the debenture.
