The chargor, charges by way of first fixed charge in favour of the security agent (as trustee for the secured parties) all of its present and future right, title, benefit and interest in and to each drawdown account and each other bank account of the chargor which is designated as a subscription account under and for the purposes of the facility agreement; and the deposit moneys, which are all moneys in any currency from time to time deposited in or standing to the credit of the accounts (including all moneys in any currency representing the renewal or replacement of or for any such deposits), all interest from time to time accrued or accruing on all such moneys, all or any moneys payable or repayable pursuant to such deposits or in respect of the accounts and in each case the debts represented thereby.

The chargor, charges by way of first fixed charge in favour of the security agent (as trustee for the secured parties) all of its present and future right, title, benefit and interest in and to each drawdown account and each other bank account of the chargor which is designated as a subscription account under and for the purposes of the facility agreement, and the deposit moneys deposited in or standing to the credit of the accounts, all interest from time to time accrued or accruing on all such moneys, all or any moneys payable or repayable pursuant to such deposits or in respect of the accounts and in each case the debts represented thereby.

By way of first fixed charge, the chargor charges in favour of the security agent by way of first fixed charge all of its present and future right, title and interest in and to the charged rights and all their related rights. All of its present and future right, title and interest in and to the charged rights and all their related rights. The charged rights includes all the chargors rights, title and interest under the partnership documents including, without limitation: to execute and deliver drawdown notices and to receive and apply the proceeds thereof; and to otherwise require and enforce the obligations of the investors to contribute or advance the undrawn commitments. The related rights, in relation to the charged rights includes: the right to receive all moneys payable under or in connection with such charged rights; the right to make demands under, or compel or require performance of, such charged rights or otherwise exercise all rights, remedies and discretions arising under or in connection with such charged rights or available at law or in equity; and all other rights, interests and benefits whatsoever accruing to or for the benefit of the chargors arising under or in connection with such charged rights.
