By way of first fixed charge the certificated shares in the share capital of the issuer (being united downs geothermal PLC, a company incorporated in england and wales registered with company number 10868073 and whose registered office is at falmouth business park, bickland water road, falmouth, TR11 4SZ, united kingdom) which includes 50,000 ordinary shares of £1 each, and all other certificated shares in the share capital of the issuer from time to time legally and beneficially owned by the company or in which the company has an interest.. By way of first fixed charge in relation to any secured shares:. A) all dividends, distributions and other income paid or payable on the relevant shares or on any asset referred to in paragraph (b) of this definition; and. B) all rights, monies or property accruing or offered at any time in relation to such shares whether by way of redemption, substitution, exchange, bonus or preference, under option rights or otherwise.
